Membership Agreement
1. Parties
This Agreement is entered into between BİS ÇÖZÜM BİLGİSAYAR VE ENTEGRASYON HİZMETLERİ VE TİC. A.Ş., located at İçerenköy Mah., Üsküdar-İçerenköy Yolu Cad. No:10, Kat:3, VIP Center, Ataşehir, Istanbul, which operates the www.plena.pro website (hereinafter referred to as “BİS”), and the internet user who becomes a member of the www.plena.pro website (“Member”).
2. Subject of the Agreement
The subject of this Agreement is to determine the terms under which the Member may use the www.plena.pro website.
3. Rights and Obligations of the Parties
To obtain membership status, a user who wishes to become a Member must confirm this Membership Agreement on the Website and fill in the information requested there with accurate and up-to-date details. The user who wishes to become a Member must have reached the age of 18 (eighteen). Membership status begins when the approval process is completed and the Member is notified, and the Member thereby becomes subject to the rights and obligations stated in this Membership Agreement and in the relevant parts of the Website. A Member who does not provide accurate and up-to-date information when completing the Membership Agreement is personally responsible for all damages that may arise as a result.
3.1. The Member declares and undertakes that the personal and other information provided when becoming a member of the www.plena.pro website is accurate before the law, and that the Member will compensate BİS immediately and in full for all damages BİS may suffer because this information is untrue.
3.2. The Member may not give the password provided by BİS, or the password the Member subsequently creates, to other persons or organizations; the right to use the password belongs to the Member personally. BİS reserves all rights to compensation and other claims arising from such unauthorized use, against any liability that may arise against BİS and/or any claims and demands that may be asserted against BİS by third parties or competent authorities because of the Member's breach of this obligation.
3.3. The Member accepts and undertakes in advance to comply with, and not to violate, the provisions of the applicable legislation while using the www.plena.pro website. Otherwise, all legal and criminal liabilities that arise shall bind the Member fully and exclusively.
3.4. The Member may not use the www.plena.pro website in any way that disturbs public order, is contrary to public morals, disturbs or harasses others, serves an unlawful purpose, or infringes the intellectual property and copyrights of others. In addition, the Member may not engage in activities or transactions (spam, viruses, Trojan horses, etc.) that prevent or make it more difficult for others to use the services.
3.5. BİS shall not be liable for the reading of Member data by unauthorized persons or for damage that may occur to the Member's software and data. The Member has accepted in advance not to claim compensation from BİS for any damage the Member may suffer from using the www.plena.pro website.
3.6. The Member has agreed not to access or use the data of other users of the www.plena.pro website without permission. Otherwise, the legal and criminal liabilities arising from this belong entirely to the Member.
3.7. A Member who violates one or more of the provisions listed in this membership agreement is personally liable, both criminally and legally, for the violation and shall hold BİS harmless from the legal and criminal consequences of such violations. In addition, if the matter is taken to court because of the violation, BİS reserves the right to claim compensation from the Member for failure to comply with the membership agreement.
3.8. BİS has the right at any time and unilaterally, when necessary, to delete the Member's membership and to delete the customer's files, documents and information. The Member accepts this right in advance. In such a case, BİS bears no responsibility.
3.9. The software and design of the www.plena.pro website are owned by BİS; the copyright and/or other intellectual property rights relating to them are protected by the relevant laws, and they may not be used, acquired or modified by the Member without permission. Other companies and products named on this website are trademarks of their owners and are also protected under intellectual property rights.
3.10. For the improvement and development of the www.plena.pro website by BİS and/or within the framework of the applicable legislation, certain information may be collected, such as the name and Internet Protocol (IP) address of the Internet service provider used to access the website, the date and time of access, the pages accessed during the visit, and the internet address of the website that linked directly to the site.
3.11. To serve its users better, improve its products and services and make the site easier to use, BİS may use Members' personal information in work aimed at users' particular preferences and interests. BİS reserves the right to keep a record of the Member's actions on the www.plena.pro website.
3.12. A person who becomes a member of BİS declares and accepts that, within the scope of current and/or future practices, all companies affiliated with BİS, all brands of those companies and all companies and brands BİS cooperates with may offer the Member product and service promotions, advertisements, campaigns, benefits, surveys and other customer satisfaction activities, and that this membership information may be stored and shared. The Member declares and accepts that the personal information the Member provided when becoming a member and/or by other means in the past, and/or will provide in the future, may be collected for the above purposes, shared with all companies affiliated with BİS, and used and archived by those companies. Unless the Member states otherwise, the Member declares and accepts that data may continue to be collected, shared with those companies, used by them and archived by them after the membership ends. Unless the Member states otherwise, the Member declares and accepts that BİS and all of its affiliated companies may contact the Member using communication channels such as the internet, telephone and SMS. The Member declares and accepts that the Member will not make any claim, and will not hold BİS and its affiliated companies responsible, for any direct and/or indirect, material and/or moral, negative and/or positive damage, in short any damage whatsoever, suffered because of the collection, sharing, use, archiving and accessing of the above-mentioned information.
3.13. BİS may disclose the Member's personal information when required by law or when it believes in good faith that this is necessary to (a) comply with legal requirements or with legal processes served on it; or (b) protect and defend the rights and property of the BİS family of websites.
3.14. BİS has taken measures within its available means to keep the BİS website free of viruses and similar malicious software. In addition, to ensure ultimate security, it is recommended that the user obtain their own virus protection system and ensure the necessary protection. In this context, by accessing the BİS www.plena.pro website, the Member is deemed to have accepted that the Member is responsible for any errors that may occur in the Member's own software and operating systems and for their direct or indirect consequences.
The Member shall not use the Website in a manner contrary to law and morality, including in particular the cases listed below.
Engaging in activities that place unreasonable or disproportionately large loads on the communications and technical systems determined by the Website or that harm its technical operation; using “screen scraping” software or systems such as automated programs, robots, web crawlers, spiders, data mining and data crawling on the Website without BİS's prior written permission; and, in this way, copying and publishing or using all or part of any content on the Website without permission.
3.15. BİS reserves the right to change the content of the site at any time, to change or end any service provided to users, or to delete user information and data registered on the BİS website.
3.16. BİS may change, update or cancel the terms of the membership agreement at any time, in any form and manner, without the need for prior notice and/or warning. Each provision that is changed, updated or repealed shall take effect for all Members on the date of its publication.
3.17. Under this membership agreement, BİS is authorized to send information emails to the email addresses of its Members registered with it and information SMS messages to their mobile phones; by confirming this membership agreement, the Member shall be deemed to have accepted that information emails will be sent to their email address and information SMS messages to their mobile phone.
4. Termination of the Agreement
This agreement remains in force until the Member cancels their membership or the membership is cancelled. If the Member violates any provision of the membership agreement, BİS may cancel the Member's membership and terminate the agreement unilaterally. If the Agreement is terminated before the membership period is completed with respect to the products purchased by the Customer, the fees paid to BİS will not be refunded, and the Customer's access to the system will be closed at the end of 15 calendar days. The Customer is fully responsible for backing up its information, and BİS has the right to delete the Customer's records at the end of 15 calendar days at the latest.
5. Dispute Resolution
The Istanbul Anatolian Courts and Enforcement Offices have jurisdiction over disputes relating to this agreement.
6. Entry into Force
The Member's registration for membership means that the Member has read all the articles of the membership agreement and accepts them. This Agreement was concluded at the moment the Member became a member and entered into force mutually.
